Terms of Service

1. Acceptance of Terms

By accessing or using the NovarisAI platform operated by Novaris Group Pty Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, you must not use the platform. These terms are governed by the laws of the Commonwealth of Australia and the applicable state and territory laws.

2. Description of Service

NovarisAI is an AI-powered business administration platform that provides automated invoicing, smart scheduling, client management, automated reporting, and an AI assistant. The platform is designed to help Australian businesses streamline their operations and reduce administrative overhead.

3. Account Registration

You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify us immediately of any unauthorised access. We reserve the right to suspend or terminate accounts that violate these terms.

4. Subscription and Payments

Access to NovarisAI is provided on a subscription basis. All prices are in Australian Dollars (AUD) and inclusive of GST where applicable. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are provided in accordance with Australian Consumer Law. We reserve the right to modify pricing with 30 days notice.

5. Intellectual Property

All intellectual property rights in the NovarisAI platform, including software, design, logos, and documentation, are owned by Novaris Group Pty Ltd. Your subscription grants you a limited, non-exclusive, non-transferable licence to use the platform for your business purposes. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

6. User Content and Data

You retain ownership of all data and content you upload to the platform. By using NovarisAI, you grant us a limited licence to process your data solely for the purpose of providing our services. We will not use your data for any other purpose without your explicit consent. Upon account termination, you may request export of your data within 30 days.

7. Acceptable Use

You agree not to use the platform for any unlawful purpose, to upload malicious software or code, to attempt to gain unauthorised access to our systems, to interfere with other users' access, to use the platform to send spam or unsolicited communications, or to misrepresent your identity or affiliation. We reserve the right to suspend accounts that violate this policy.

8. AI-Generated Content

NovarisAI uses artificial intelligence to generate content including invoices, reports, and recommendations. While we strive for accuracy, AI-generated content may contain errors. You are responsible for reviewing and verifying all AI-generated outputs before relying on them for business decisions. We do not guarantee the accuracy, completeness, or suitability of AI-generated content.

9. Limitation of Liability

To the maximum extent permitted by law, Novaris Group Pty Ltd shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform. Nothing in these terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) that cannot be excluded, restricted, or modified by agreement.

10. Service Availability

We aim to provide uninterrupted access to the platform but do not guarantee it. We may temporarily suspend access for maintenance, updates, or circumstances beyond our control. We will endeavour to provide reasonable notice of planned downtime. We reserve the right to modify, suspend, or discontinue any feature of the platform at any time.

11. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings. We may terminate or suspend your access immediately if you breach these terms. Upon termination, your right to use the platform ceases immediately, and you may request export of your data within 30 days.

12. Dispute Resolution

These terms are governed by the laws of Australia. Any disputes arising from or relating to these terms shall first be attempted to be resolved through good faith negotiation. If unresolved within 30 days, disputes may be submitted to mediation in accordance with the Resolution Institute's mediation rules. The courts of Australia shall have exclusive jurisdiction over any proceedings.

13. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email or through the platform with at least 30 days notice. Continued use of the platform after changes take effect constitutes acceptance of the revised terms. If you do not agree with any changes, you must discontinue use of the platform.
